The firm was counsel to Core Covers, an industry leading manufacturer of custom spa and leisure products, in the sale of its U.S. and Mexican businesses to Dallas, Texas based Mitre Peak Capital.

The firm was counsel to Harness Power, Inc. in its acquisition of LarSun Solar, a Southern California-based regional solar and sustainable energy provider.

The firm was counsel Rock Hill Foods, LLC, a leading producer of organic, free-range eggs, in its acquisition by Pete & Gerry’s Organics, LLC, part of Butterfly Equity’s investment portfolio.

The firm represented Intrepid Spirits, a client of more than five years, in closing an eight-figure round of financing. Intrepid owns and distributes multiple alcohol brands in the U.S. and internationally, including Cocolero, Mad March Hare, and Eagen’s Irish Whiskey.

The firm represented long-time client HatchBeauty, a beauty and wellness incubator, in the stock purchase of Trendalytics, a consumer analytics platform. The deal is the second in the space of a year that Heath Steinbeck has handled for HatchBeauty, following its November 2020 purchase of Duncan Enterprises’ beauty brands.

The firm advised Classic Homes in its purchase of high-end furniture and upholstery manufacturer Braxton Culler, Inc. As part of the acquisition, the firm also handled real estate transactions concerning Braxton Culler’s 410,000 square foot plant and 28,000 square foot showroom in North Carolina.

The firm represented Spin Products, a California-based manufacturer of custom molded products, in its acquisition by Tank Holding, North America’s largest rotational molder.

The firm advised Digital West Holdings, a San Luis Obispo telecommunications company on its sale to Wave Broadband, a cable, internet, and telephone provider serving California and Oregon.

The firm recently defeated a petition brought under the Federal Arbitration Act to compel testimony of a California witness in a New York arbitration. The dispute involved a matter of first impression in the Second Circuit as to whether a witness could be compelled under the Act to provide video testimony in California in a proceeding taking place in New York.

The firm obtained summary judgment on all claims in the San Bernardino Superior Court for an international restaurant, retail, and wholesale industrial baking company defending a former employee’s claims of negligence. Prior to filing the motion, the firm obtained key material admissions from the plaintiff, as well as sanctions for discovery abuse. The court granted the motion outright, finding that the client owed no duty to the plaintiff as a matter of law.
